Company Secretary Assistant

Join us in this role where you’ll be responsible for providing company secretarial assistance across our global footprint. This role offers a wide variety of company secretarial tasks and the opportunity to be part of a larger in-house legal department with dedicated colleagues based in Europe, US, and APAC.

You’ll be part of Business Ethics & Company Secretariat where you, together with your colleagues, will play a key role in maintaining high standards of governance and compliance and be involved in a broad variety of company secretarial work related to our portfolio of companies with focus on the UK and other European jurisdictions.

You’ll play an important role in:

  • supporting and maintaining accurate and up-to-date statutory company records to ensure compliance with legal and regulatory requirements in the UK and across other European jurisdictions
  • supporting in the timely filing and registration of statutory documents with relevant authorities, including annual returns, confirmation statements, financial statement, and other necessary documents
  • supporting subsidiary governance and compliance, including liaising with global advisors (external counsel and corporate service providers) regarding company secretarial actions in companies outside the UK
  • preparing and handling various corporate actions through the life cycle of a company, from incorporation to the strike-off/liquidation
  • updating company records via GEMS (Global Entity Management System) to maintain accurate and up-to-date entity information
  • coordinating with internal stakeholders, e.g., finance functions, in connection with the preparation of confirmation statements, annual reports, and share capital changes, and in general supporting with drafting and reviewing resolutions and documents.

 

To succeed in the role, you:

  • have a recognised degree or equivalent with appropriate qualifications for company secretarial work
  • have previous experience working in a company secretariat team, ideally from a global in-house position or professional services organisation
  • have a proactive and collaborative mindset
  • have strong organisational skills with the ability to prioritise tasks and to manage multiple tasks and deadlines, and possess an excellent attention to detail
  • are comfortable working independently and have strong interpersonal, communication, and written skills
  • have knowledge of UK company law and corporate governance requirements and have working knowledge of GEMS (the latter is an advantage but not essential).

We offer a flexible working model with the opportunity to work mostly remotely. However, please note that occasional presence in our London office will be required for team collaboration sessions (normally 2-4 times a year) and onboarding activities. This setup is designed to support both productivity and team connection.
